FITC VIRTUAL LIBRARY USER AGREEMENT

You are welcome to the FITC Virtual Library [“the Services”]. The FITC Virtual Library is provided by Financial Institutions Training Centre [FITC]. You may contact us through our “Contact Us” web page.

FITC Virtual Library is a subset of the FITC’s Pius Okigbo E-Library, which is one of the best reference libraries in Nigeria. Established over two decades ago, FITC E-Library is today a treasure of intellectual materials ranging from journals, magazines and monographs to books on a wide variety of subjects. FITC Virtual Library is a collection of full text e-books, journals and databases from various publishers and sources which can be accessed by anyone at any time from any internet connected computer, laptop or other portable device.

PLEASE NOTE: The following specifies the terms and conditions on which FITC offers you access to its Virtual Library [“Service”]. Please read the terms of this Agreement carefully before using the Service. When you use FITC Virtual Library, you are agreeing to the terms, conditions and notices contained herein.

 

1. MODIFICATIONS

FITC reserves the right to change the terms, conditions and notices under which the FITC Virtual Library is offered without notice, including but not limited to the chargesassociated with the use of the database. Please check this Agreement periodically for changes. Your continued use of the service following the posting of any changes to this Agreement constitutes acceptance of those changes.

2. LINKS TO THIRD PARTY SITES

The FITC Virtual Library Web page may contain links to other Web Sites ("Linked Sites"). The Linked Sites are not under the control of FITC and FITC is not responsible for the contents of any Linked Site, including without limitation any link contained in an FITC Site, or any changes or updates to a Linked Site. FITC is not responsible for webcasting or any other form of transmission received from any Linked Site. FITC is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by FITC of the site or any association with its operators.Any opinions, advice or statements contained within the content available through our site are those of the respective author(s) or publisher(s), and not of FITC.

3. LIABILITY DISCLAIMER

The information on this Web page has been included in good faith and is for general informational purposes only. It should not be relied on for any specific purpose, and no representation or warranty is given as regards its accuracy or completeness.

4. USER'S RIGHTS AND OBLIGATIONS 

 

4.1  Service Eligibility
To be eligible to use the Services, you must meet the following criteria and represent and warrant that you:
a.     Are not less than 18 years;
b.     Not currently restricted from the use of the Services;
c.     Are not a competitor of FITC or not using the Services for reasons that are in competition with FITC;
d.     Have full power and authority to enter into this Agreement, and doing so will not violate any other agreement to which you are a party;
e.     Will not violate any rights of FITC or third party, including intellectual property rights such as copyright and trademark rights;
f.      Agree to provide at your cost all equipment, software, mobile access and internet access necessary to use the Services.

4.2  Accessibility
On the condition that you comply with all your obligations under this Agreement,FITC grants you a limited, revocable, nonexclusive, nonassignable, nonsublicenseable right to access the Services, through a generally available web browser, mobile device or FITC Virtual Library authorised application (but not through scraping, spidering, crawling or other technology or software used to access data without the express written consent of FITC) to use the Services, to the extent intended and permitted by this Agreement.

4.3  Permitted Use
You may use the FITC Virtual Library service for your personal or academic research activities. Any other use, including the reproduction, modification, distribution, transmission, republication, display, performance, rehosting, tampering, framing, or embedding of this Service or its content or tools, or any commercial use whatsoever of this Web page or its content or its tools, is strictly prohibited without FITC’s prior written consent.

4.4Restrictions on Use 
a.      You agree to use this Service for lawful purposes only. You agree not to post or transmit through our site any material that (i) violates or infringes in any way upon the rights of others; (ii) is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable; or (iii) encourages conduct that would constitute a criminal offense, gives rise to civil liability or otherwise violates any law.

b.      You agree not to reverse engineer, reverse assemble, reverse compile, decompile, disassemble, translate or otherwise alter any executable code, contents or materials downloaded from or made available through our service. You agree not to use programmes, scripts, codes or other available methods to download or view multiple pages of content on FITC Virtual Library in an automated fashion.

c.      You agree not to save the content available on FITC on your hard drive or other storage device for viewing offline. You understand that such actions are likely to subject you to serious civil and criminal legal penalties, and that FITC may pursue such penalties to the full extent of the law to protect its rights and the rights of publishers, authors and its other licensors.

 

4.5   Plagiarism and Commercial Use Prohibited 
You agree not to misuse FITC’s research services to plagiarise or represent the work of others as your own. You may not make any commercial use of this service, including charging others for access or selling collections of material gathered from the FITC Virtual Library Web page. You are not permitted to copy any portion of our site for distribution to others other than in the normal course of your personal or academic research.

4.6 Trademarks, Copyrights and Other Intellectual Property Rights 
You acknowledge and agree that all content and services available on this Service are the property of FITC and its licensors and suppliers, and are protected by copyrights, moral rights, trademarks, service marks, patents, trade secrets, and other proprietary rights and laws, in Nigeria and internationally. You also agree not to use the Service for other than the permitted purposes described herein without the express written consent of FITC or the proprietary right owner(s).

4.7   Indemnification
You agree to indemnify and hold FITC harmless for all damages, losses and costs (including but not limited to, reasonable attorney’s fees and costs) related to all third party claims, charges, and investigations, caused by  your failure to comply with this Agreement, including, without limitation, any activity you engage in or through FITC Virtual Library.

5.     FITC'S OBLIGATIONS

5.1 Service Availability

For as long as FITC continues to offer the Services, FITC shall provide and seek to update, improve and expand the Services. As a result, FITC will allow you to access the FITC Virtual Library as it may exist and be available on any given day, and FITC has no other obligations except as expressly stated in this Agreement. FITC may modify, replace, refuse access to, suspend or discontinue FITC Virtual Library, partially or entirely, or change and modify the Services offered at its discretion. All these changes shall be effective upon the posting on the Web page or by direct communication to you unless otherwise noted.

5.2   Quality and Accuracy of Digitised Titles 
FITC’s is committed to ensuring that electronic versions of titles in its service mirror their original print versions to the fullest extent possible. Although we are vigilant about ensuring the highest level of integrity of digitised titles, we do not guarantee the quality or accuracy of any information provided in the service.

6.     DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY 

YOU EXPRESSLY AGREE THAT USE OF THE SERVICE IS AT YOUR SOLE RISK. NEITHER FITC, ITS AFFILIATES OR PARTNERS NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS OR LICENSORS WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICE, OR AS TO THE QUALITY OR ACCURACY OF ANY INFORMATION PROVIDED THROUGH THE SERVICE. 

THIS SERVICE IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 

IN NO EVENT WILL FITC, OR ANY PERSON(S) OR ENTITY INVOLVED IN CREATING, PRODUCING OR DISTRIBUTING THE SERVICE OR THE CONTENT INCLUDED THEREIN, BE LIABLE IN CONTRACT, IN TORT (INCLUDING FOR ITS OWN NEGLIGENCE) OR UNDER ANY OTHER LEGAL THEORY (INCLUDING STRICT LIABILITY) FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR SIMILAR DAMAGES, ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE.

THE ABOVE DISCLAIMER OF LIABILITY APPLIES TO ANY DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INACCURACY, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORISED ACCESS TO, ALTERATION OF, OR USE OF THIS SERVICE, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOUR (INCLUDING STRICT LIABILITY), NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION. YOU SPECIFICALLY ACKNOWLEDGE THAT FITC IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USER(S) OR THIRD PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH YOU. 

7.     MISCELLANEOUS

7.1   Governing Law: You agree that the laws of the Federal Republic of Nigeria, without regard to principles of conflict of laws, will govern the terms of this Agreement and any dispute of any sort that might arise between you and FITC or its affiliates. You further agree that any controversy or claim that may arise between us shall be resolved in Lagos, Nigeria.

7.2  Severability: If any term of this Agreement is deemed invalid, void, or for any reason unenforceable, that term shall be deemed severable and shall not affect the validity and enforceability of the remaining terms of this Agreement.

7.3  Waiver: No waiver by FITC of any violation of this Agreement shall be deemed to be a waiver of any preceding or subsequent violation(s).

7.4 Assignment: This Agreement is personal to you and you may not assign your rights or obligations to anyone. Any attempt to do so will be null and void.

The section headings used herein are for convenience only and shall not be given any legal import.

 

8.   CHARGEABLE SERVICES -  EBSCOHOSTDATABASE

FITC, as part of its Virtual Library offering offers the use of the EBSCOhostdatabase, a premium online information resource. 

Terms Applicable to all EBSCOhost Subscribers

8.1 Introduction:

The Use of EBSCOhost database, which can be assessed through the FITC Virtual Library Platform, is a chargeable service.

Users of theService will be required to pay an annual sum of =N=20,000.00 (subject to review) as subscription fee. Fees and charges ae non-refundable and billed in advance.

FITC reserves the right to terminate this Agreement without notice if you violate its terms or conditions, On termination or cancellation of your subscription, any files you have stored in your FITC account may be removed at FITC's discretion. You should ensure you have copied any files you wish to keep prior to the end of your subscription.

FITC may engage the use of a third party payment processing service provider in order to facilitate the payment of User subscriptions. In the event that FITC utilises a third party payment processor to process subscriber(s)’ payments, such use of a third party in no way constitutes an agreement between the EBSCOhost User and the third party payment processor. The agreement is between the EBSCOhostUser and FITC, and the third party processor shall not be liable for any loss or damage arising out of such agreement.

8.2 Registration

 

In order to register with the EBSCOhost Service you are required to make necessary payment for accessibility. Once your registration is verified, your User ID and password will be communicated to you. You may not disclose or share your password with any third party. If you lose control of your password, you may lose substantial control over your personally identifying information and may be subject to legally binding actions taken on your behalf. Therefore, if your password has been compromised for any reason, you should immediately change it on your account page.

8.3  Privacy

  1. FITC is committed to safeguarding the personal information of its subscribers and online visitors. By registering or using the EBSCOhost Service, you will be required to provide FITC with certain person information. FITC’s primary goal in collecting this personal information is to enable us to provide you with an efficient, customised experience while you use the EBSCOhost Service. To fully use the EBSCOhost Service, you will need to register using our online registration form where you will be required to provide certain personal information.
  2. FITCwill use your personal identification information and information about your usage internally to improve its services. FITC may also use your contact information to send you administrative/renewal notices or information on new services, promotions, and targeted advertisements. While you may not opt out of the administrative/renewal notices, you may do so for the promotional ones by choosing this preference on your account page.
  3. FITC aggregates information and may use this information for its marketing and promotional purposes. FITC will not disclose to third parties any information that could reasonably be used to personally identify or contact you.
  4. FITC may share its data or transfer assets, including personally identifying information about you, with its joint ventures, or other entities that are in common control with FITC. To the extent that these entities are given access to your information, they will treat it at least as protectively as they treat information they obtain from their other users.
  5. FITC may decide or be required to disclose information to law enforcement, other government authorities, or third parties under certain circumstances. FITC can (and you authorise it to) disclose any information about you that in its sole discretion,believes is necessary or appropriate, in connection with an investigation of fraud, infringement of intellectual property rights, third-party lawsuits, or other activity that is illegal or may expose it to legal liability.
  6. FITC uses industry standard efforts to safeguard your personally identifying information, such as firewalls and Secure Socket Layers (SSL). However, "perfect security" does not exist on the Internet and third parties may intercept or access transmissions and/or private communications. Therefore, FITC does not promise, and you should not expect, that your personally identifying information or private communications [if any] would remain private in all cases. Nevertheless, FITC will make every effort to make sure that it keeps your information safe.

8.4 Maintaining Your Account Information
You agree to use your account page to review and update the information you submitted during registration if it changes. Specifically, you agree to review and update your email address, name, address, city, state/province, postal code, country, phone number(s), and payment information.
8.5  Notices by Email
You agree that we may send you administrative notices and otherwise communicate with you about this Agreement by email. You agree to update your account information for changes in your email address. We are not responsible if you do not receive notice from us due to incorrect email addresses or other circumstances beyond our control.             
8.6  Misuse of EBSCOhost Service
FITC may restrict, suspend or terminate the account of any subscriber who abuses or misuses the EBSCOhost Services. Misuse of the EBSCOhost Service includes creating multiple or false accounts, using the EBSCOhost service commercially without FITC’s authorisation, infringing on intellectual property rights,or any behaviour that FITC, in its sole discretion, deems contrary to its purpose.

8.7  Mutual rights of termination
You may terminate this Agreement, for any or no reason, at any time, with notice to FITC. This notice will be effective upon FITC processing your notice. FITC may terminate this Agreement and your account for any reason or no reason, at any time, with or without notice. This cancellation shall be effective immediately or as may be specified in the notice.
